About these terms
These terms cover this website, the free audit and the work Patchbay Studio B.V. does for you. Every build also gets a written proposal with its scope, price and timeline. If the proposal and these terms disagree, the proposal wins.
The free audit
The audit is a 20-minute call about one workflow. It is free and commits you to nothing. Afterwards you get a wiring plan with a price, a timeline and the expected saving, and it is yours to keep whether or not you hire us.
Builds and payment
Every build is a fixed price, agreed in the proposal before work starts.
We invoice half when you sign and half at handover. Invoices are due within 14 days.
Prices are in euros and exclude VAT.
Changes to the scope are quoted before we make them.
Care plans
Care is optional and month to month. It covers monitoring, fixes and small changes to live units. You can cancel at any time before the next month starts.
What we need from you
A named owner on your side, access to the tools a unit connects to, and feedback within the agreed review windows. You confirm that you are allowed to share the data and accounts you give us access to.
Who owns what
Once the build is paid, you own it: the code, the prompts, the workflows and the documentation. They live in your accounts from the first day. We keep the general methods and tools we use across projects, and we name you as a client only with your permission.
AI makes mistakes
Agents can misread a message or get a fact wrong. Every unit has handoff rules, so anything outside its lane goes to a person, and in the first 30 days we review its decisions with you every week. Decisions made with the help of a unit remain yours.
Confidentiality
We keep your business information confidential during the project and after it ends, and only the people working on your build get access to it.
Liability
Our total liability for a project is limited to the fees you paid for it in the 12 months before the claim. We are not liable for indirect loss, such as lost profit, except where the law does not allow this limit.
This website
The content on this site is general information, not advice for your situation. Case figures describe past projects and are not a promise of your results. Links to other sites are there for convenience, and we are not responsible for their content.
Law
Dutch law applies to these terms. Any dispute goes to the competent court in Rotterdam.
